Introduction

This End-User License Agreement (“Agreement”) is a binding contract between you (“End User”, “you” or “your”) and Alligence LLC (“Company,” “we,” “us,” or “our”). It governs your use of the Alligence LLC platform, applications, and services.

By downloading, installing, accessing, or using the website or app, you:

1. Confirm you have the authority and permission to use our platform.

2. Acknowledge you have read, understood, and agree to this Agreement.

3. Represent that you are at least 18 years old and legally capable of entering into binding contracts.

4. Accept and agree to be legally bound by this Agreement.

The application is licensed, not sold, to you by Alligence LLC.

License

Subject to this Agreement, Alligence LLCgrants you a limited, non-exclusive, revocable, non-transferable license to:

• Install and use the software on one (1) device per license purchased.

• Access and use the services strictly in accordance with this Agreement.

• Install and use a trial version of the software for up to fifteen (15) days.

• Receive updates and features released during the valid license period.

Restrictions

You agree not to:

• Sell, rent, lease, sublicense, or distribute the software.

• Reverse engineer, modify, or create derivative works.

• Remove or alter copyright notices.

• Use the application for unauthorized or unlawful purposes.

Intellectual Property

All intellectual property rights in the software, services, and related materials remain the sole property of Alligence LLC or its licensors. No ownership is transferred to you—only a license to use.

You retain rights over content you create using Alligence LLC tools.​

Suggestions

Any feedback, ideas, or suggestions you provide may be used freely by Alligence LLC without obligation to compensate you.

Updates and Modifications

Alligence LLC may update, improve, or remove features at any time without liability. Updates form part of the software and are subject to this Agreement.

Third-Party Services

Alligence LLC may include links or integrations with third-party services. We are not responsible for their content, accuracy, or practices. Use at your own risk.

Term and Termination

This Agreement remains in effect until terminated by either party. Alligence LLC may terminate immediately if you breach this Agreement. Upon termination, you must delete all copies of the software.

Indemnification

You agree to indemnify and hold harmless Alligence LLC, its employees, and affiliates from claims, damages, or expenses arising from your misuse of the software or breach of this Agreement.

No Warranties

The software is provided “as is” and “as available” without any warranties. Alligence LLC does not guarantee error-free operation, compatibility, or fitness for a particular purpose.

Limitation of Liability

Alligence LLCtotal liability shall not exceed the amount you paid for the software. We are not liable for indirect, incidental, or consequential damages.

Governing Law

This Agreement is governed by the laws of United States, excluding conflict of law rules.

Entire Agreement

This Agreement constitutes the full legal contract between you and Alligence LLC, superseding prior agreements.
